Acceptance standard：Function test should be conducted under Seller's acceptance standard or mutual acceptance standard agreed by both parties before the quotation. After PO placed, seller will re-quote if buyer required to change the design or specification of goods.
Packing：Per Seller's standard export packing. The price needs negotiation if the buyer required special packing.
This quotation needs to have Seller's official seal and it's effective after signed by higher managements.
If Buyer cancels PO or changes the design after placed PO, Buyer should be responsible for all the loss resulted from PO cancellation or design revision that raised by the buyer.
If there are some mistakes on the invoice, please inform Seller to correct immediately.
"After shipment accepted and entered into Buyer's warehouse, Seller will not be responsible for the NG products if resulted from the inappropriate storage of Buyer's."
If Buyer order non-standard product or product with the special specification, the delivery date will be counted formally after received the down payment from Buyer. The payment will not be reimbursed after confirmation of quantity and specifications between both parties.
The above quotation is the special price for Buyer only. Please do not disclose the price information to the third party based on confidentiality.
Other Conditions (regarding equipment selling)
All the utility and facility in buyer's site are not Seller's working scope.
Transfer of Risk and Insurance
Risk of the equipment should be transferred from Seller to Buyer upon the equipment being delivered to the destination where Buyer specified. The buyer shall immediately confirm equipment status upon reception. If there is any defect, please take photos and inform Seller immediately in order to clarify the responsibility.
Warranty
Seller warrants that the equipment shall be free from defect in material or workmanship. The warranty will be valid for one year from the date of reception if there is no other condition.
( 1 ) During the warranty period, Buyer can claim for the warranty service if there is any defect. After the issue being confirmed by both parties and it's under warranty, seller will proceed any repairing service and /or parts replacement free of charge.
( 2 ) The warranty as set forth herein is Seller's sole warranty with respect to the equipment to be sold by Seller to the Buyer. Any unlimited commercial warranty is excluded. After equipment being handed over, Seller will not be responsible for any kind of damages, including consequential or indirect damages, whether directly or indirectly, incurred by the Buyer with respect to the equipment.
Reservation of ownership
The ownership of the equipment shall remain to Seller until the payments of the contract 100% paid. In case that the Buyer fails to make payment in accordance with terms of payment, Seller shall be entitled to take the equipment back after notice to the buyer and claim for loss incurred by Buyer.
10. "Both Seller and buyer agree that once there is any doubtful interpretation or arguments related this quotation, they agree to follow the current laws and rules in Taiwan." 11. Lead Time： Per ship date confirmed by Gudeng Inc's written notice after PO.
